FileHive – Terms of Service.

Introduction.

These Terms of Service (“Terms”) govern your use of FileHive, provided by MISL Ltd. By using FileHive, you agree to comply with these Terms. If you do not agree to these Terms, please do not use our service.

 

Definitions.

“FileHive”: The cloud-hosted Electronic Document Management System provided by MISL Ltd.

“Client”: The individual or organisation utilising FileHive.

“User”: Any individual authorised by the Client to access and use FileHive.

 

Services Provided.

MISL Ltd provides FileHive as a cloud-hosted EDMS for document storage, retrieval, and management. We offer a variety of storage configurations, including cloud-based and local server-based options.

 

Client Responsibilities.

Clients are responsible for:

  • Ensuring the accuracy and legality of data uploaded to FileHive.
  • Complying with all applicable laws and regulations regarding data management and retention.
  • Safeguarding login credentials and ensuring only authorized personnel access FileHive.
  • Ensuring that the data stored is appropriate and lawful for retention within FileHive.

 

User Accounts.

Each user account is limited to login access on one device at a time. For flexibility in managing and accessing data, we recommend creating multiple user accounts if multiple individuals will require simultaneous access. MISL Ltd reserves the right to monitor and manage login sessions to ensure compliance.

 

Viewability.

While storage and retrieval of all file types can be managed through the online client portal, online viewing of files is currently limited to PDF file types. Additional online file type viewing is looking to be implemented in the near future. Please contact a sales representative to fully understand FileHive’s current capabilities at your time of purchase.

 

Data Retention and Deletion.

MISL Ltd follows the Data Retention Policy outlined here, ensuring compliance with UK legal standards. Data will be deleted according to the specified retention periods unless otherwise instructed by the Client. Clients may request data deletion or export at any time, provided no legal restrictions apply.

 

Service Availability.

MISL Ltd will make reasonable efforts to ensure continuous availability of FileHive. However, we do not guarantee uninterrupted service and are not liable for any downtime or data loss caused by system outages, third-party service providers, or maintenance periods.

 

Fees and Payment.

FileHive is a subscription-based service, with pricing based on storage capacity, user accounts, and additional services (e.g., off-site backups). MISL Ltd will provide quotes based on Client requirements. Payment terms are outlined in the service agreement, and late payments may result in service suspension or termination.

 

Termination.

MISL Ltd reserves the right to terminate access to FileHive in the event of:

  • Breach of these Terms.
  • Non-payment of fees.
  • Unlawful use of FileHive by the Client or Users.

Upon termination, data stored within FileHive will be made available for export for a limited period before deletion, subject to any legal obligations.

 

Liability.

MISL Ltd is not liable for any indirect, incidental, or consequential damages, including data loss or service interruptions, unless caused by gross negligence or intentional misconduct.

 

Privacy and Data Protection.

MISL Ltd adheres to GDPR regulations for data protection. We collect and process personal data only as necessary for the provision of FileHive services. Please refer to our Privacy Policy for detailed information on how we handle personal data.

 

Amendments.

MISL Ltd may amend these Terms from time to time to reflect changes in legal requirements or service offerings. Clients will be notified of any significant changes, and continued use of FileHive constitutes acceptance of the amended Terms.

 

Governing Law.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
